Acceptance of Terms
By engaging the services of Precious Adedokun ("APCodeSphere", "we", "us") or using this website (preciousadedokun.com.ng), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not engage our services.
Services
APCodeSphere provides professional web development, software engineering, and digital consulting services including but not limited to: • Custom web application development • E-commerce platform development • SaaS and software product development • Technical SEO services • API development and integration • Backend and frontend development • UI/UX design and implementation All services are provided as described in individual project proposals and/or statements of work.
Project Engagement
A project officially commences when: 1. A written agreement, proposal, or statement of work has been signed or accepted via email. 2. The agreed deposit has been received. Verbal agreements are not binding. All project terms must be confirmed in writing.
Payment Terms
• All projects require a deposit (typically 50%) before work begins. • Milestone-based payments are due on delivery of each milestone as specified in the project proposal. • Final payment is due before transfer of source code or project go-live, unless otherwise agreed. • Late payments may incur a 1.5% monthly interest charge. • All prices are in Nigerian Naira (₦) unless otherwise stated in writing.
Intellectual Property
Upon receipt of full payment: • You own the source code and design assets created specifically for your project. • APCodeSphere retains rights to any reusable libraries, frameworks, or tools developed independently. • APCodeSphere retains the right to display your project in our portfolio unless you request otherwise in writing. Until full payment is received, all intellectual property remains the property of APCodeSphere.
Client Responsibilities
You agree to: • Provide timely feedback and required materials (content, assets, access credentials) within agreed timelines. • Designate a single point of contact for the project. • Ensure that any content or materials you provide do not infringe upon any third-party intellectual property rights. • Allow reasonable time for revisions and testing before going live.
Revisions
Each project includes a defined number of revision rounds as specified in the project proposal. Revisions are limited to the originally agreed scope. Requests outside the original scope will be treated as new work and quoted separately.
Confidentiality
Both parties agree to maintain confidentiality of any proprietary or sensitive information shared during the course of the project. APCodeSphere will not share your business information, project details, or data with third parties without your written consent.
Limitation of Liability
To the fullest extent permitted by Nigerian law: • APCodeSphere shall not be liable for any indirect, incidental, or consequential damages arising from the use of delivered services. • Our total liability shall not exceed the amount paid for the specific service in question. • We are not responsible for third-party service outages (hosting providers, payment gateways, etc.).
Termination
Either party may terminate a project agreement with 14 days written notice. Upon termination: • You will be invoiced for all work completed to date. • Refunds (if applicable) will be processed per our Refund Policy. • APCodeSphere will deliver all completed work product upon receipt of final payment.
Governing Law
These Terms of Service are governed by the laws of the Federal Republic of Nigeria. Any disputes shall first be attempted to be resolved through good-faith negotiation. Unresolved disputes shall be submitted to the jurisdiction of Nigerian courts in Ekiti State.
Changes to Terms
We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated date. Continued engagement of our services after any changes constitutes acceptance of the updated terms.
